Terms of Use

1 Acceptance of Terms

By accessing duonlabs.com, platform.duonlabs.com, or any sub-domain operated by Duon Labs, Inc. ("Duon Labs", "we", "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Sites or Services.

2 Services Covered

Marketing Site: informational pages, documentation, and content.
Console / API Platform: account dashboard, API keys, endpoints, SDKs, and any alpha/beta features (collectively, the "Services").

3 Account Registration

To use the Console you must:

Provide accurate, current information.
Keep your credentials and API keys confidential.
Promptly notify contact@duonlabs.com of any unauthorized use.

You are responsible for all activity under your account and keys.

4 Permitted Use & Restrictions

You may use the Services solely to evaluate or integrate Duon Labs' forecasting outputs into your own applications. You must not:

Violate any applicable law or regulation.
Reverse-engineer, decompile, or attempt to derive source code or models.
Scrape, crawl, or bulk-download content without written permission.
Interfere with, disrupt, or degrade the Sites, networks, or other users.
Use the outputs as "financial advice" or represent them as guaranteed returns.
Use the Services or outputs to create, train, benchmark, or improve a competing machine-learning model, or attempt to extract source code, model weights, or architecture.

5 Intellectual Property

All content, software, logos, and models are our exclusive property or that of our licensors. Subject to these Terms we grant you a non-exclusive, revocable, limited license to access and use the Services. We reserve all rights not expressly granted.

By submitting data you grant Duon Labs a worldwide, royalty-free license to process it solely to operate and improve the Services, and you warrant you have that right.

6 Disclaimers

Informational Use Only – Forecasts and analytics are provided "AS IS" for informational purposes. They are not investment, trading, or legal advice.
No Warranty – To the maximum extent allowed by law, we disclaim all warranties (express or implied) including accuracy, fitness for a particular purpose, and non-infringement.
Beta Features – Alpha/beta Services may be unstable and are provided without SLA.

7 Limitation of Liability

To the fullest extent permitted, Duon Labs' total liability arising out of or related to the Services will not exceed (a) USD 100 or (b) the fees in the 12 months before the claim, whichever is greater. We are not liable for indirect, incidental, special, or consequential damages, lost profits, or lost data.

8 Indemnity

You agree to defend, indemnify, and hold Duon Labs harmless from any third-party claim arising from (a) your breach of these Terms, (b) your misuse of the Services, or (c) any content you submit.

9 Suspension & Termination

We may suspend or terminate your access at any time for: violation of these Terms, suspected abuse, legal requirement, or to protect the integrity of our platform. Sections 5–14 survive termination.

10 Modifications to Terms or Services

We may change the Services or update these Terms. Material changes will be posted here and, for registered users, emailed or shown in-console. Continued use after the "Effective Date" constitutes acceptance.

11 Dispute Resolution & Governing Law

Any dispute arising out of the Services that cannot be resolved informally will be finally settled by binding arbitration under the AAA Commercial Rules in Wilmington, Delaware. Claims must be filed within one (1) year after the cause of action accrues. The prevailing party is entitled to reasonable attorneys' fees and costs. Consumers in the EEA retain any non-waivable statutory rights.

The seat of arbitration is Wilmington, Delaware, and the proceedings will be conducted in English.

Either party may seek temporary or injunctive relief in any court of competent jurisdiction for alleged misuse of confidential information or intellectual property.

12 Class-Action Waiver

You may resolve disputes with Duon Labs only on an individual basis and may not bring a claim as a plaintiff or class member in any class, collective, or representative action.

13 Export & Compliance

You agree to comply with all export-control and sanctions laws. You may not use the Services in or for the benefit of embargoed countries or prohibited end-users.

14 General

If any provision is held unenforceable, it is severed and the remainder remains in effect. Failure to enforce any right is not a waiver. These Terms constitute the entire agreement between you and Duon Labs regarding the Services.
